Independent directors improve oversight. Bonuses motivate executives. Foundations create stability. More disclosure leads to better decisions.

Sometimes these ideas are right. Sometimes they aren't.

The Vester Brief investigates one governance puzzle every week using original data, academic research and real-world cases. Rather than commenting on corporate news, each issue asks a simple question:

What is really happening here?

Recent topics include executive compensation, board independence, foundation ownership, AI and strategic decision-making, and corporate adaptation. Most investigations begin with a company. The implications often reach much further.

The Vester Brief is written by Steffen Brenner, Associate Professor at Copenhagen Business School. His research focuses on corporate governance, executive compensation, boards of directors and the role of AI in strategic decision-making. He has been a visiting scholar at Stanford Law School, Stanford Graduate School of Business and the Kellogg School of Management.
